ROLE OVERVIEW
This role is responsible for ensuring the Company’s
compliance with statutory, regulatory, and corporate governance requirements.
The Company Secretary acts as a key advisor to the Board and Management on
governance matters, supports effective decision-making, and ensures that
corporate records, filings, and shareholder matters are properly managed in
accordance with applicable laws and best practices.
KEY
RESPONSIBILITIES

Ensure compliance with the Companies Act, applicable
corporate governance codes, and relevant regulatory requirements.

Prepare, maintain, and update statutory registers,
corporate records, and regulatory filings with relevant authorities.
·
Organize, coordinate, and attend Board, Board Committee,
and Shareholder meetings, including preparation of agendas, minutes,
resolutions, and follow-up action items.
·
Advise the Board and Management on corporate governance
best practices, statutory obligations, and regulatory developments.
·
Act as the primary liaison with regulators, auditors,
company secretarial firms, and external legal or professional advisors.
·
Manage shareholder-related matters, including share
transfers, dividend distributions, and maintenance of shareholding records.
·
Monitor, interpret, and stay up-to-date with changes in
relevant legislation, regulations, and industry practices to ensure ongoing
compliance.
WHAT
DOES IT TAKE TO BE SUCCESSFUL
Qualifications
·
Professional qualification in
Company Secretarial studies (e.g., ICSA / MAICSA or equivalent) preferred.
·
Membership with a recognized
professional body is preferred.
Work
Experience
·
5 years + of relevant
experience in a corporate secretary or company secretarial function.
·
Strong understanding of
corporate governance frameworks, statutory requirements, and regulatory
compliance.
·
Experience working with
Boards, senior management, and external stakeholders such as regulators and
auditors.
